Rights Offering 2025

Background and rationale

In December 2024, the Board of Directors of the Tellus Group decided to carry out a private placement to a number of qualified investors. To give existing shareholders in the company the opportunity to be partially compensated for the dilution effect caused by the shares and warrants in the private placement, the Board of Directors of the Tellus Group has simultaneously decided to offer all existing shareholders the opportunity to subscribe for Series TO3 warrants.

Subscription period: January 8 , 2025 – January 22, 2025 (please note that some fund managers may close subscriptions at an earlier date)

Trading in unit rights: January 8 , 2025 – January 17, 2025

Subscription with preferential rights: All existing shareholders received one (1) unit right for each (1) share held on the record date of December 30, 2024. Ten (10) unit rights entitle the holder to subscribe for one (1) unit. One (1) unit consists of one (1) warrant of series TO3

Subscription price: The subscription price is SEK 0.01 per unit, corresponding to SEK 0.01 per warrant.

Proceeds from the offering: If the rights offering is fully subscribed, the company will receive SEK 16.0 thousand before offering expenses; if all warrants offered under the offering are fully exercised, the company may receive an additional maximum of SEK 9.6 million before offering expenses.
