The Tellus Group acquires Vikariepoolen from NGS Group AB

Tellusgruppen AB (publ.) has today signed an acquisition agreement with NGS Group AB regarding the transfer of assets and operations of the staffing business Vikariepoolen, with the closing date set for January 1, 2025. The purchase price amounts to SEK 3.05 million and consists of newly issued shares in Tellusgruppen AB valued at SEK 2.8 million, SEK 0.25 million in cash, and a potential additional purchase price.
The Tellus Group is acquiring Vikariepoolen for SEK 3.05 million, plus a potential additional purchase price.
The base purchase price of SEK 3.05 million, in the form of newly issued shares in Tellusgruppen AB, is based on the average closing price of the shares during the thirty days prior to the date of the agreement. The share price is SEK 7.73, and the number of newly issued shares amounts to 362,225. The new share issue thus results in a dilution of 2.2%. The Annual General Meeting on June 12, 2024, authorized the Board of Directors to carry out the new share issue.
A smaller additional purchase price may also be paid in cash in early 2026. The terms of the additional purchase price are based on the average revenue from existing customer contracts in 2024–2025.
The Tellus Group intends to organize the business into a separate subsidiary and as part of the Education Services business area.
Vikariepoolen has one of the strongest brands in the industry and 20 years of experience in efficiently staffing positions in preschools, schools, and kitchens, among other sectors. Vikariepoolen’s primary client base consists of public-sector clients, secured through competitive bidding. The company currently has annual revenue of SEK 20 million.
